De acuerdo a lo pactado en la cláusula anterior, "XYZ", se obliga a lo siguiente:

  1. Cumplir con las disposiciones legales reglamentarias que resulten aplicables, así como tramitar por su cuenta las licencias o permisos que se requiera para cumplir las obligaciones que se derivan de este contrato, y en caso de que por incumplimiento de lo anterior se le impusiera a "ABC" alguna multa o sanción, "XYZ" se obliga a cubrir por su cuenta el importe de las mismas y a realizar de inmediato los trámites correspondientes, a fin de regularizar dicha situación.

  2. Contratar un seguro a entera satisfacción de "ABC" que cubra los principales riesgos a que estarán expuestos los bienes materia de contratación, vigente hasta la fecha en que los bienes sean entregados en los sitios designados por el cliente. Asimismo, "XYZ" se obliga en su caso, a pagar el importe del deducible correspondiente.

  3. Verificar que los bienes de que se trata, cumplan en todo tiempo con las características y especificaciones que se mencionan en el anexo A de este instrumento.

  4. Reponer a "ABC" sin costo alguno y a la brevedad, los bienes que el propio "ABC" le haya devuelto por no cumplir con las características y especificaciones que se mencionan en el anexo A de este contrato.

In accordance with the points agreed upon in the preceding clause, "XYZ" also agrees to the following:

  1. To strictly comply with applicable legal regulatory provisions, as well as to procure, at its own expense, any licenses or permits required to fulfill the obligations derived herein, and if any fine or penalty is imposed upon "ABC" for reasons of noncompliance with the aforementioned, "XYZ" agrees to cover the value thereof at its own expense and immediately complete the corresponding procedures in order to bring said situation into a state of compliance.

  2. To acquire an insurance policy to the complete satisfaction of "ABC," covering the primary risks to which the contracted material goods may be exposed, in force through the date on which the goods are delivered to the client-designated sites. In addition, "XYZ" agrees, if necessary, to pay the value of the corresponding deductible.

  3. To verify that the goods in question comply at all times with the characteristics and specifications listed herein in appendix A.

  4. To provide replacements to "ABC," at no cost whatsoever and within the shortest possible time frame, for the goods that "ABC" itself has returned for reasons of noncompliance with the characteristics and specifications listed herein in appendix A.
